三、租賃范圍及用途：

五、租金：

六、保證金：

七、其他費(fèi)用：

乙方應(yīng)承擔(dān)租賃期內(nèi)實(shí)際使用而產(chǎn)生的水、電、液化氣費(fèi)、電話費(fèi)并按單自行如期交納所屬管理公司或有關(guān)機(jī)構(gòu)。

八、甲方的責(zé)任：
party a’s obligations:
8.1 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。
party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.
8.3 在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。

8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu)，進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。

九、乙方的`責(zé)任：
party b’s obligations:
9.1 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其他各項(xiàng)應(yīng)付費(fèi)用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛(ài)護(hù)使用出租房屋，如因乙方的過(guò)失或過(guò)錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負(fù)賠償責(zé)任。

9.3 乙方應(yīng)按本合同的約定合法使用出租房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放中華人民共和國(guó)法律下所禁止的危險(xiǎn)物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。

9.4 未經(jīng)甲方事先書面同意，乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。

十、違約處理：

10.1 甲、乙任何一方如未按本合同的條款履行，構(gòu)成違約，應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。雙方同意違約方應(yīng)賠償守約方之直接損失人民幣_(tái)___________元。

10.2 乙方有下列行為之一的，甲方有權(quán)終止本合同，收回出租房屋，并且保證金不予返還;

a.未得甲方書面書面同意，將出租房屋擅自轉(zhuǎn)租;
sublets the leased property without party a’s written consent;
b.未得甲方同意將出租房擅自拆改結(jié)構(gòu)或改變用途的：
alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無(wú)故拖欠租金超過(guò)三天(除雙方就本合同存在爭(zhēng)議除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a dispute in respect of this agreement.
十一、適用法律：
applicable law:
本合同的成立，其有效性、結(jié)實(shí)、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國(guó)法律的管轄并依據(jù)中國(guó)法律解釋。

十二、爭(zhēng)議的解決：

凡因執(zhí)行本合同所產(chǎn)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決;協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按其仲裁規(guī)則和中華人民共和國(guó)仲裁法進(jìn)行仲裁。仲裁解決是終局的，對(duì)雙方都有約束力。

十三、其他

13.1 本合同如有未盡事宜，由甲、乙雙方洽談解決。

四、結(jié)算方式

3、經(jīng)銷期（包括試銷期和正式經(jīng)銷期）內(nèi)乙方保證完成月度銷售任務(wù) ，按合同約定完成終端鋪貨，建設(shè)商超堆頭、端架。若在合約期內(nèi)乙方連續(xù)累計(jì)無(wú)法完成兩個(gè)月度銷售任務(wù)，或不能按合同約定完成終端鋪貨數(shù)量和商超堆頭、端架建設(shè)數(shù)量，甲方有權(quán)取消經(jīng)銷商資格。
4、在試銷期內(nèi)， 乙方完成合同約定的月度任務(wù)、終端鋪貨率、商超堆頭建設(shè)數(shù)量，則轉(zhuǎn)為正式經(jīng)銷商，甲方發(fā)經(jīng)銷商確認(rèn)通知函。
5、乙方保證合同指定產(chǎn)品均在限定區(qū)域內(nèi)銷售，如竄區(qū)域銷售，甲方不予兌現(xiàn)銷售獎(jiǎng)勵(lì)，并根據(jù)數(shù)量乙方支付甲方 _____元／件-- _______元／件的違約金，或甲方有權(quán)取消經(jīng)銷商資格。

七、甲方責(zé)任：
1、甲方負(fù)責(zé)監(jiān)督并杜絕竄貨現(xiàn)象的發(fā)生，以確保乙方在銷售區(qū)域內(nèi)的合法權(quán)益。
2、乙方在銷售甲方產(chǎn)品過(guò)程中所發(fā)生的廣告媒體宣傳、宣傳品、促銷品、推廣活動(dòng)等事宜，乙方應(yīng)提出計(jì)劃方案，經(jīng)甲方審核同意后，乙方即可安排實(shí)施。
3、甲方協(xié)助乙方做好產(chǎn)品的售前、售中、售后服務(wù)。
4、保證提供乙方所需的貨源，負(fù)責(zé)做好市場(chǎng)的管理、指導(dǎo)工作；負(fù)責(zé)提供電視、軟性文章等宣傳媒體資料及終端培訓(xùn)。
5、及時(shí)兌現(xiàn)合同約定的政策支持。
6、負(fù)責(zé)將產(chǎn)品運(yùn)至乙方市場(chǎng)，運(yùn)費(fèi)由甲方承擔(dān)。
八、產(chǎn)品驗(yàn)貨約定：
甲方貨到乙方市場(chǎng)當(dāng)日清點(diǎn)核實(shí)品種、規(guī)格、數(shù)量，由乙方法人代表在貨運(yùn)回執(zhí)單上簽字并加蓋公章后產(chǎn)品驗(yàn)收生效，運(yùn)送的產(chǎn)品、宣傳品、促銷品等物品如出現(xiàn)短缺或破損，乙方應(yīng)在貨運(yùn)回執(zhí)單上注明。否則，出現(xiàn)的一切損失由乙方負(fù)責(zé)。
九、獎(jiǎng)勵(lì)政策：
參與公司經(jīng)銷商級(jí)別評(píng)定，兌現(xiàn)獎(jiǎng)勵(lì)。
十、產(chǎn)品調(diào)劑約定：
本合同產(chǎn)品在發(fā)貨三個(gè)月內(nèi)如滯銷可提出調(diào)劑，調(diào)劑產(chǎn)品的來(lái)回運(yùn)費(fèi)，運(yùn)送損失及內(nèi)外包裝材料損失費(fèi)均由乙方承擔(dān)，乙方所有調(diào)換產(chǎn)品必須保證包裝無(wú)開(kāi)封、臟、損現(xiàn)象，不影響二次銷售，否則不予退換。
十一、雙方合作前特別約定：
1、乙方嚴(yán)格遵守國(guó)家工商、稅務(wù)等有關(guān)政策、法令、法規(guī)進(jìn)行商業(yè)活動(dòng)，如有違反，屬乙方個(gè)人行為，概與甲方無(wú)關(guān)，因此衍生的一切后果，由乙方負(fù)責(zé)。
2、乙方向甲方匯報(bào)每月庫(kù)存、銷貨情況及下期要貨計(jì)劃、市場(chǎng)信息，乙方每次上貨金額應(yīng)在_____萬(wàn)元以上。
3、甲方每月對(duì)乙方的考核截止日為當(dāng)月的_____ 日。

3、若雙方解約，乙方市場(chǎng)完好無(wú)損仍有銷售價(jià)值的產(chǎn)品，甲方按乙方進(jìn)貨價(jià) ____% 的價(jià)格回收，與甲方有關(guān)并由甲方提供的資料，乙方應(yīng)無(wú)條件交回甲方。
4、解約手續(xù)辦理完畢，甲方退還乙方合同保證金。

5. 付款 Payment

6. 傭金 Commission
在本協(xié)議期滿時(shí)，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運(yùn)貨物所收到的'發(fā)票累計(jì)總金額付給乙方*%的傭金。
Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B…… % commission on the basis of the aggregate amount of the invoice value against the shipments effected.
7. 市場(chǎng)情況報(bào)告 Reports on Market Conditions
乙方每3個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶意見(jiàn)的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料。
Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers' comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.
8. 宣傳廣告費(fèi)用 Advertising & Publicity Expenses
在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說(shuō)明，由甲方審閱同意。
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.
9. 協(xié)議有效期 Validity of Agreement
本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**.若一方希望延長(zhǎng)本協(xié)議，則須在本協(xié)議期滿前1個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。
若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.
11. 其他條款 Other Terms & Conditions
（1） 甲方不得向經(jīng)銷地區(qū)其他買主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價(jià)，當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷售確認(rèn)書副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給予乙方*%的傭金。

the claims ， if any regarding to the quality of the goods shall be lodged within days after arrival of the goods at the destination ， if any regarding to the quantities of the goods ， shall be lodged within days after arrival of the goods at the destination . the sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of insurance company / transportation company /post office.
13.人力不可抗拒：如因人力不可抗拒的原因造成該合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。 force majeure ： the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
14.爭(zhēng)議之解決方式：
disputes settlement ： 任何因該合同而發(fā)生或與該合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
all disputes arising out of the contract or in connection with the contract ， shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen ， china . the arbitral award is final and binding upon both parties.
15.法律適用
law application ：
該合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷售公約》。
it will be governed by the law of the people‘s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people’s republic of china or the deffendant is chinese legal person ， otherwise it is governed by united nations convention on contract for the international sale of goods .
該合同使用的fob、cfr、cif、ddu 術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《incoterms 1990》
16.文字：該合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。
